Contractor Network Agreement

GUIDED PATH HOME SERVICES — CONTRACTOR NETWORK AGREEMENT

Version 1.0 · Effective 2026-06-22

This Contractor Network Agreement ("Agreement") is entered into as of the date of electronic acceptance below, by and between Guided Path Home Services LLC, a Michigan limited liability company, 10450 Elly Lane, Freeland, MI 48623 ("Guided Path," "we," "us"), and the contractor business identified at acceptance ("Contractor," "you").

1. What Guided Path Is (and Is Not)

1.1. Guided Path operates a technology and referral platform that connects homeowners with independently-licensed contractors. Guided Path is not a contractor, performs no home-improvement or repair work, and is not a party to any agreement between Contractor and a homeowner.

1.2. Guided Path delivers leads and coordinates introductions and communication. All work, pricing, scheduling, warranties, and performance are solely between Contractor and the homeowner.

2. Independent Contractor Relationship

2.1. Contractor is an independent business. Nothing here creates an employment, agency, partnership, joint-venture, or franchise relationship, and Contractor has no authority to bind Guided Path.

2.2. Contractor is solely responsible for its own employees, subcontractors, tools, vehicles, taxes, and benefits.

3. Contractor Eligibility & Ongoing Obligations

3.1. Contractor represents and warrants that it: (a) holds and will maintain all licenses required to perform its trade in Michigan; (b) is in good standing; and (c) will perform all work in a professional, workmanlike manner and in compliance with all applicable laws, codes, and permits.

3.2. Contractor will promptly notify Guided Path of any license suspension, revocation, lapse, or material complaint, judgment, or regulatory action.

3.3. Contractor will comply with all applicable consumer-protection, telemarketing, and privacy laws (including the TCPA and the Michigan Home Solicitation Sales Act) in any direct communications with homeowners, and will not contact homeowners outside the platform's consent framework.

4. Insurance Requirements

4.1. Throughout the term, and for so long as Contractor performs work for any homeowner introduced through Guided Path, Contractor will maintain at its own expense, at minimum:

  • Commercial General Liability of not less than $1,000,000 per occurrence / $2,000,000 aggregate;

  • Workers' Compensation as required by Michigan law if Contractor has any employees; and

  • Commercial Automobile Liability if Contractor uses any vehicle in connection with its work.

4.2. Additional Insured. Contractor's Commercial General Liability policy will name "Guided Path Home Services LLC, and its members, officers, and agents" as an Additional Insured with respect to work performed for homeowners introduced through Guided Path.

4.3. Primary & Non-Contributory. Contractor's coverage will be primary and non-contributory relative to any insurance maintained by Guided Path.

4.4. Certificate of Insurance. Before activation, and upon each renewal, Contractor will provide a current Certificate of Insurance evidencing the above coverage and the Additional Insured status, and will notify Guided Path within 5 business days of any cancellation, non-renewal, or material reduction of coverage.

4.5. Failure to maintain the required coverage is grounds for immediate suspension or removal from the platform.

5. Indemnification

5.1. Contractor will indemnify, defend, and hold harmless Guided Path and its members, officers, employees, and agents from and against any and all claims, demands, lawsuits, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) the work Contractor performs for any homeowner; (b) Contractor's acts, omissions, or negligence; (c) any bodily injury, death, or property damage caused by Contractor; (d) Contractor's breach of this Agreement; (e) Contractor's violation of any law, license requirement, or permit; or (f) any dispute between Contractor and a homeowner.

5.2. This indemnity survives termination of this Agreement.

6. Lead Fees & the Fair Lead Guarantee
6.1. Contractor will pay Guided Path the per-lead and/or subscription fees in effect under Guided Path's then-current pricing, billed through Guided Path's payment processor. Guided Path may update pricing on reasonable notice.
6.2. Guided Path does not guarantee that any lead will result in a completed job, and does not guarantee any number, quality, or conversion of leads.
6.3. Fair Lead Guarantee. If Contractor claims a lead, contacts the homeowner, and does not get the job — because the homeowner declined Contractor's price or quote, never responded, the lead was not a genuine match for Contractor's trade or scope, or the lead was a duplicate — Contractor may request a refund of that lead's fee directly from the job page in Contractor's dashboard, with a written reason. Guided Path reviews each request individually; requests are not approved automatically. If approved: the fee is waived (or refunded, once per-lead invoicing is fully in effect) and will never appear on Contractor's billing, the job is cancelled, the lead is released back to the network and opened immediately to all membership tiers, and Guided Path re-matches the homeowner with another contractor. Contractor may not reclaim a lead for which a refund was approved. There is currently no cap on the number of refund requests or a fixed review window; Guided Path may deny requests it determines are unsupported, abusive, or made in bad faith, and may remove Contractor from the network for a pattern of such requests.
6.4. The Fair Lead Guarantee in Section 6.3 is a commitment Guided Path makes to Contractor regarding lead fees only. It is separate from, and should not be confused with, the Guided Path Promise described in Section 7, which is a commitment Guided Path makes to homeowners.
7. Homeowner Relationship & The Guided Path Promise
7.1. Contractor contracts directly with the homeowner and is solely responsible for the work, including all warranties, guarantees, callbacks, and dispute resolution.
7.2. Contractor acknowledges Guided Path's "Guided Path Promise" (Match · Re-Match · 100% Money Back) and agrees that Guided Path may, at its discretion, re-match a homeowner to a different contractor. The Promise is Guided Path's own referral-quality and refund commitment on Guided Path's own paid services to homeowners, and is not a warranty of Contractor's workmanship. It is separate from the Fair Lead Guarantee in Section 6.3, which governs Contractor's own lead-fee refunds.

8. Conduct & Removal

8.1. Guided Path may suspend or remove Contractor from the platform at any time, with or without cause, including for homeowner complaints, license or insurance lapse, non-payment of fees, or conduct that harms homeowners or the Guided Path brand.

9. Confidentiality & Data

9.1. Contractor will use homeowner contact and job information only to perform the specific job for that homeowner, will protect it, and will not sell, share, or re-market it.

10. Limitation of Liability

10.1. To the fullest extent permitted by law, Guided Path's total liability to Contractor for any claim arising out of this Agreement will not exceed the total platform fees Contractor paid to Guided Path in the three (3) months preceding the claim. Guided Path is not liable for any indirect, incidental, consequential, or lost-profit damages.

11. Term & Termination

11.1. This Agreement begins on acceptance and continues until terminated by either Party on written notice. Sections 4 (as to occurrences during the term), 5, 9, and 10 survive termination.

12. Governing Law & Disputes

12.1. This Agreement is governed by the laws of the State of Michigan. The Parties will attempt in good faith to resolve disputes; any unresolved dispute will be venued in the state or federal courts located in Saginaw County, Michigan, and each Party waives any right to a jury trial.

13. Miscellaneous

13.1. This Agreement is the entire agreement on its subject and supersedes prior discussions. Amendments must be in writing (electronic acceptance counts). If any provision is unenforceable, the rest remains in effect. Contractor may not assign this Agreement without Guided Path's consent. Electronic signature and acceptance are binding.
